Marvin Manager, 56, works at Procom, Inc. Last year, he hired an outstanding employee, Sara Specialist. She has been in the industry since she was 25 and now at 41, has a 16-year track record of excellent results. Because of her experience and seniority, Marvin offered her a 2-year employment contract with a hefty salary, benefits, stock options and a termination clause which read as follows:
5(b) Termination for Cause: Procom may, at its option, terminate your employment immediately for cause, without prior written notice or compensation of any nature. For these purposes, “cause” means willful failure to perform substantially your duties with the company after receiving notice of a deficiency and failing to address it. 5(c) Termination without Cause: Notwithstanding the fixed Term of this Agreement, Procom may terminate your employment without cause upon 30 days’ written notice by providing you with liquidated damages equal to one year’s salary.
About one year after hiring Sara, Marvin and Sarah went to a business trip together to Florida. The hotel assigned them joining rooms with a connecting door. Marvin discovered that the air conditioning in his room did not work and asked Sarah if they could open the door between the two rooms to increase airflow. The two then went to dinner together where they proceeded to drink heavily.
Marvin and Sarah returned to the hotel and went into Sarah‘s room because it was cooler. Sarah invited Marvin to sit on the bed because there was no chairs. Sarah changed into her short nightgown and sat on the bed. Things progressed by the end of the evening, Marvin and Sarah had sex.
When the to return to the office, Marvin continue to ask Sarah to go out with him and to have dinner with him. He often referred to the night of passion and stated that he can wanted to continue a relationship with her.
Sarah did not want to engage in any further intimate relationship with Marvin and told him so. Nevertheless, his comments did not stop. Sarah never complain to human resources pursuant to company policy. She was embarrassed and felt she could just ignore Marvin until he eventually “got the picture”.
Finally, when the behavior continued for several months, Sarah filed a complaint with the EEOC. Despite her excellent work Record, Marvin immediately fired her and replaced her with a 27-year-old female.
